**Sherpa Terms and Conditions**

Welcome to Sherpa. These Terms and Conditions ("Terms") govern your access to and use of the Sherpa mobile application, website, and any related services (collectively, the "Service") provided by Sherpa Labs, Inc. ("Sherpa," "we," "us," or "our").

Please read these Terms carefully. By creating an account or by accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

**1. Description of Service**

Sherpa is a self-improvement tool designed to help users define, track, and achieve their personal goals. The Service uses artificial intelligence (AI) to provide personalized coaching, insights, and motivation. You understand and agree that the Service is provided on an "AS-IS" and "AS-AVAILABLE" basis.

**3. Eligibility and Age Requirement**

You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, to create an account and use the Service. By using Sherpa, you represent and warrant that you meet this requirement. We do not knowingly collect information from or direct any of our content specifically to users under 18.

**4. User Accounts**

• **Account Creation:** To use Sherpa, you must register for an account and provide accurate information, including a valid email address.
• **Account Security:** You are responsible for safeguarding your account password and for all activities that occur under your account. You must notify us immediately at **hello@sherpahabits.com** of any unauthorized use of your account.
• **Account Responsibility:** You are solely responsible for the content you post, your goals, and your conversations within the Service.

You agree not to use the Service to:

Certain features of Sherpa are powered by third-party artificial intelligence providers (e.g., OpenAI, Anthropic). When you interact with these features, you acknowledge that your conversation data may be processed by these third parties, as outlined in our Privacy Policy. While we are committed to protecting your privacy, your use of these features is also subject to the terms and policies of these third-party providers.

**7. Intellectual Property Rights**

All rights, title, and interest in and to the Service (excluding content provided by users) are and will remain the exclusive property of Sherpa Labs, Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. You may not use the Sherpa name, logo, or trademarks without our prior written permission.

**8. Termination**

• **By Us:** We reserve the right to suspend or terminate your account at any time, with or without cause or notice, if you violate these Terms or for any other reason at our discretion. Upon termination, your right to use the Service will immediately cease.

THE SERVICE IS PROVIDED "AS IS" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED. SHERPA DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHERPA LABS, INC. AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

**10. Governing Law**

These Terms shall be governed by the laws of the State of California, without regard to its conflict of law provisions.

**11. Changes to These Terms**

We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the new Terms on this page and updating the "Effective Date." Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
